Introduction

Welcome to SavvyLandlord.com. You are only authorized to access this website or to use the materials contained in the website if you agree to comply with all applicable laws and with these Terms of Use which constitute an Agreement between you and Savvy Landlord Inc. ("Savvy Landlord").

PLEASE READ THESE TERMS OF USE CAREFULLY. By accessing and using the Savvy Landlord website and its services located at www.savvylandlord.com, and all linked pages owned and operated by Savvy Landlord (the "Website"), YOU AGREE TO BE BOUND BY THESE TERMS OF USE. If you do not agree with them, you should leave this website immediately and do not access or use the Savvy Landlord materials or services.

Changes to the Agreement or the Website

We reserve the right at our sole discretion to modify or amend this Agreement and the Website without prior notice at any time, and such modifications will be effective upon Savvy Landlord's posting of the new terms and/or upon implementation of the new changes on the Website. You should therefore read this page periodically to learn about any changes. If you continue to use the Website after these terms have changed, you will be deemed to have agreed to the changes.

Unless expressly stated otherwise by Savvy Landlord Inc., any new features, new services, enhancements or modifications to the Savvy Landlord Website implemented after your initial access to the Website shall be subject to these Terms of Use.

Eligibility

You must be 18 or over, or the legal age to form a binding contract in your jurisdiction if that age is greater than 18 years of age, to register as a member of Savvy Landlord or use the Savvy Landlord Website. If you are under the age of 18 or the applicable legal age in your jurisdiction, you can use the Savvy Landlord Website only in conjunction with, and under the supervision of, your parent or guardian who has agreed to the Terms of Use. If you do not qualify, do not use the Website. Membership in the Savvy Landlord Website is void where prohibited by applicable law, and the right to access the Savvy Landlord Website is revoked in such jurisdictions. You must be 13 or older to use the Website, in compliance with the Children's Online Privacy Protection Act(COPPA). By using the Savvy Landlord Website and/or Savvy Landlord services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms of Use and to abide by all of the terms and conditions set forth herein. The Savvy Landlord Website is administered in the US and intended for US users; any use outside of the US is at the user's own risk and users are responsible for compliance with any local laws applicable to their use of the Website.

Registration and Security

In order to use or access some of the Savvy Landlord services, you may be required to register with Savvy Landlord and to select a password, a user name, and an email address you own and use ("User ID"). If you register, you agree to provide Savvy Landlord with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of these Terms of Use, which may result in immediate termination of your account. You may not: (i) enter, select or use a false name or an email address owned or controlled by another person with the intent to impersonate that person, or, (ii) use as a User ID a name subject to any rights of a person other than yourself without appropriate authorization. Savvy Landlord reserves the right to refuse registration of, or cancel a User ID in its discretion. You shall be responsible for maintaining the confidentiality of your password and are fully responsible for all activities that occur under your User ID and password. Any User ID and password provided to you for your access to the Savvy Landlord Website and services shall be for your personal use only. You agree to (a) immediately notify Savvy Landlord of any unauthorized use of your User ID or password, and (b) ensure that you exit from your account at the end of each session.

Use of the Website/Services by Members

Subject to the restrictions on use and on posting set forth in this Agreement, you may: use the Savvy Landlord Website to solicit reviews from, and share reviews with other Savvy Landlord users; search the Savvy Landlord database for reviews and business contact information; forward reviews to people you know, whether or not they are existing Savvy Landlord members; invite people you know to join Savvy Landlord; view the information, data, text, sound, photographs, graphics, video, messages and other materials available via the Savvy Landlord Website ("Content") for your own use; and download only one copy of any video, audio, graphics, or photographic materials on any single computer for your personal, non-commercial use only, and you must keep all copyright and other proprietary notices attached to the downloaded material.

All materials contained in the Savvy Landlord Website and Savvy Landlord services are the copyrighted property of Savvy Landlord Inc. All trademarks, service marks, trade names and trade dress are proprietary to Savvy Landlord Inc. and/or third party licensors. Any and all forms of duplication, reproduction, distribution, resell, publication, modification, publicly displaying, uploading, posting, copying or transmission of material from this Website for any purpose not authorized herein above is STRICTLY PROHIBITED unless you have obtained the prior written consent of Savvy Landlord. The material covered by this prohibition includes, but is not limited to, any written text, graphics, logos, photographs, audio, or video material on the Website.

You are also strictly prohibited from creating works or materials that are derived or are in any way based on the content, software, and/or materials contained in this Website. You acknowledge that the Savvy Landlord Website and any underlying technology or software used in connection with the Savvy Landlord Website contain Savvy Landlord’s proprietary information.

Savvy Landlord does not control the Content posted by third parties via the Savvy Landlord services, including the content of any messages, comments, or reviews, and does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Savvy Landlord services you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will Savvy Landlord be liable in any way for any Content, including any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of your use of any Content. You are responsible for complying with all laws applicable to the Content you submit via the Savvy Landlord Website and services. You agree that you must evaluate and bear all risks associated with the use of any Content, including any reliance on the content, integrity, and accuracy of such Content.

Restrictions on Rights to Use

You agree that you will not:

modify, adapt, translate, or reverse engineer any portion of the Savvy Landlord Website and/or Savvy Landlord services;
remove any copyright, trademark or other proprietary rights notices contained in or on the Savvy Landlord Website and/or Savvy Landlord services or in or on any Content or other material obtained via the Savvy Landlord Website and/or Savvy Landlord services;
use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve or index any portion of the Savvy Landlord Website and/or Savvy Landlord services;
access, retrieve or index any portion of the Savvy Landlord Website and/or Savvy Landlord services for purposes of constructing or populating a searchable database of business reviews;
collect any information about other users or members (including usernames and/or email addresses) for any purpose other than to solicit and share reviews with other Savvy Landlord members;
reformat or frame any portion of the web pages that are part of the Savvy Landlord Website and/or Savvy Landlord services;
create user accounts by automated means or under false or fraudulent pretenses;
create or transmit unwanted electronic communications such as "spam" to other users or members of the Savvy Landlord Website and/or Savvy Landlord services or otherwise interfere with other user's or member's enjoyment of the Savvy Landlord Webite and/or Savvy Landlord services;
upload, post, email, transmit or otherwise make available any viruses, worms, defects, Trojan horses or any other computer code, files or programs of a destructive nature;
use the Savvy Landlord Website or Savvy Landlord services to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material including that are deemed threatening or obscene;
interfere with or disrupt the Savvy Landlord Website or servers or networks connected to the Savvy Landlord Website, or disobey any requirements, procedures, policies or regulations of networks connected to the Savvy Landlord Website;
copy or store any Content offered on the Savvy Landlord Website for other than your own use;
use any device, software or routine that interferes with the proper working of the Savvy Landlord Website and/or Savvy Landlord services, or otherwise attempt to interfere with the proper working of the Savvy Landlord Website and/or Savvy Landlord services;
take any action that imposes, or may impose in our sole discretion, an unreasonable or disproportionately large load on our IT infrastructure;
use the Savvy Landlord Website and/or Savvy Landlord services, intentionally or unintentionally, to violate any applicable local, state, national or international law;
impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; or
collect or store personal data about other users in connection with the prohibited activities described in this paragraph.

Content Posted By You on the Website

You are solely responsible for any Content and other material that you submit, publish or display on the Savvy Landlord Website or transmit to other members and/or other Website users (hereinafter, "Posted Content")

You may not upload, post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. You may not submit any Content or material that infringes, misappropriates or violates the intellectual property, publicity, privacy or other rights of any party.

You may not provide any Posted Content that falsely express or imply that such Content or material is sponsored or endorsed by Savvy Landlord.

You may not provide any Posted Content that is unlawful or that promotes or encourages illegal activity.

You understand and agree that Savvy Landlord may review and delete any business listings (including business name, address, phone, fax, email address, website, description, distance, rating, reviews) or other Posted Content that in the sole judgment of Savvy Landlord violates these Terms of Use or which might be offensive, illegal, or that might violate the rights of, harm, or threaten the safety of other users or members of the Savvy Landlord Website.

You are solely responsible for your ratings and reviews of businesses listed on Savvy Landlord. Savvy Landlord reserves the right, but has no obligation, to monitor disputes between you and any entity which you have reviewed.

You agree that you will only provide Posted Content that you believe to be true and you will not purposely provide false or misleading information.

By posting Posted Content on the Savvy Landlord Website, you agree to and hereby do grant, and you represent and warrant that you have the right to grant, Savvy Landlord, its contractors, and the users of the Savvy Landlord Website an irrevocable, perpetual, royalty-free, fully sublicensable, fully paid up, worldwide license to use, copy, publicly perform, digitally perform, publicly display, and distribute such Posted Content and to prepare derivative works of, or incorporate into other works, such Posted Content. This license is non-exclusive, except you agree that Savvy Landlord shall have the exclusive right to practice this license to the extent of combining your Posted Content with the Posted Content of other Savvy Landlord users for purposes of constructing or populating a searchable database of business reviews.

You acknowledge that we shall have the right (but not the obligation) in our sole discretion to refuse or remove any Content that is available via the Savvy Landlord Website. Without limiting the foregoing, we shall have the right to remove any Content for any reason whatsoever, whether or not it violates the Terms of Use.

The following is a partial list of the kind of Content and communications that are illegal or prohibited on/through the Savvy Landlord Website. Savvy Landlord reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Savvy Landlord Website and terminating the membership of such violators or blocking your use of the Savvy Landlord Website and/or Savvy Landlord services. You may NOT post Content that:

is false or intentionally misleading;
is offensive to users or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
harasses or advocates harassment of another person;
is threatening, abusive, obscene, defamatory, libelous, or invasive of another person's privacy;
is pornographic or sexually explicit in nature, or recommends or seeks providers of such material;
harms minors under the age of 18 in any way or solicits personal information from minors;
promotes illegal activities or conduct violates the intellectual property or other rights of any person;
involves the transmission of unsolicited advertising, mass mailing, junk mail, "spam," "chain letters," "pyramid schemes," or any other form of solicitation;

You acknowledge, consent and agree that Savvy Landlord Inc. may access, preserve, and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms of Use; (c) respond to claims that any Content violates the rights of third-parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of Savvy Landlord users or the public.

Indemnity

You agree to indemnify and hold Savvy Landlord Inc., its subsidiaries, affiliates, officers, agents, co-branders, partners, and employees, harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of Content you submit, post, transmit or make available through the Savvy Landlord Website, your use of the Savvy Landlord Website, your violation of the Terms of Use, or your violation of any rights of another person or entity.

Venue Only

If you enter into correspondence or engage in commercial transactions with third parties in connection with your use of the Savvy Landlord Website and/or Savvy Landlord services, such activity is solely between you and the applicable third party. Savvy Landlord shall have no liability, obligation or responsibility for any such activity. You hereby release Savvy Landlord from all claims arising from such activity.

Products of Advertisers on this Website

Savvy Landlord is not responsible for and does not guarantee the price or performance of any goods, products or services advertised on the Savvy Landlord Website.

Privacy

Use of the Savvy Landlord Website and/or Savvy Landlord services is also governed by our Privacy Policy, a copy of which is located here .

Disclaimer of Warranties

THE MATERIAL IN THIS WEBSITE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. SAVVY LANDLORD DISCLAIMS ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Liability for the Website is Limited

NEITHER SAVVY LANDLORD INC. Miscellaneous Terms

These Terms of Use, accepted upon use of the Savvy Landlord Website, contain the entire agreement between you and Savvy Landlord regarding the use of the Savvy Landlord Website and/or Savvy Landlord services.

You agree that our failure to exercise or enforce any right or provision of the Agreement will not operate as a waiver of our right to enforce such terms.

This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Savvy Landlord Website must be filed within one (1) year after such claim or cause of action arose or be forever barred, and expressly waive any other statute of limitation which otherwise may apply.

This Agreement is governed by, and construed in accordance with, the laws of the State of Nevada without regard to conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts of the State of Nevada or the United States District Court for resolution of any dispute, action or proceeding arising in connection with this Agreement or your use or non-use of the Savvy Landlord Website. You hereby irrevocably waive any right you may have to trial by jury in any such dispute, action or proceeding.
